1. Acceptance of Terms

By accessing or using the websites, applications, and services operated by Axial Tech, Inc. ("Company", "we", "us", or "our"), including OnRentX and MARCATEK (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

Axial Tech operates B2B marketplace platforms that connect service providers with clients. Our platforms include:

• OnRentX — A marketplace for heavy equipment and machinery rental in Latin America.
• MARCATEK — A marketplace for brand-certified appliance repair technicians.

We act as an intermediary platform and are not a party to the agreements between providers and clients.

3. User Accounts

When you create an account with us, you must:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized access to your account.
• Accept responsibility for all activities that occur under your account.

4. Intellectual Property

The Services and their original content, features, and functionality are owned by Axial Tech, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks, including "Axial Tech", "OnRentX", and "MARCATEK", may not be used without our prior written consent.

5. User Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks.
• Use any automated means to access the Services without our express written permission.

6. Payment Terms

Certain features of the Services may require payment of fees. All fees are stated in the applicable currency and are due in accordance with the payment terms presented at the time of purchase. We use third-party payment processors (including Stripe) and do not store your payment card information directly.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIAL TECH, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

9. Indemnification

You agree to defend, indemnify, and hold harmless Axial Tech, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Delaware.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
